Terms of Service

The agreement between you and FreelanceKar covering accounts, escrow payments, fees, disputes and acceptable use.

Draft pending legal review. This document describes how the platform actually behaves today and replaces an earlier version that contained material errors — it referred to Delaware arbitration and the US–EU Privacy Shield, which has not existed since 2020. Bracketed values and items marked TODO must be settled by a qualified lawyer before this is relied on.

01The agreement

These Terms form a binding agreement between you and FreelanceKar (registered entity name to be confirmed) (“FreelanceKar”, “we”, “us”). They apply whenever you use the platform, whether or not you have an account.

FreelanceKar is a marketplace and payment intermediary. We do not employ freelancers, do not perform the work, and are not a party to the contract between a client and a freelancer. We provide the place where that contract is agreed and the escrow through which it is paid.

02Who may use FreelanceKar

  • You must be at least 18 years old. Under Indian law a person below 18 cannot enter a binding contract, and money moves through this platform under contract.
  • You must be able to enter a legally binding agreement and not be barred from doing so under any applicable law.
  • You must give accurate registration details and keep them current.
  • Access may require identity verification before you can transact.
An earlier version of these terms set the minimum age at 16. That was inconsistent with the Indian Contract Act, 1872 and with the Digital Personal Data Protection Act, 2023, which treats anyone under 18 as a child.

03Your account

  • One account per person. Accounts are personal and may not be sold or transferred.
  • You are responsible for what happens under your account and for keeping your credentials secret.
  • Tell us promptly at support@freelancekar.com if you believe your account has been accessed by someone else.
  • We may require identity verification, including a government-issued identity document and a short verification video, before enabling payouts. What we do with those is described in the Privacy Policy.

04Clients and freelancers

A client posts work and funds it. A freelancer delivers it. The scope, deadline and price agreed between them is their contract, not ours.

  • Clients must describe the work honestly and fund milestones before work begins.
  • Freelancers must be able to do the work they accept and must deliver what was agreed.
  • Neither party may move an engagement started here off the platform to avoid fees.

05How escrow works

  1. The client creates a project with one or more milestones.
  2. The client funds a security deposit of 25% of the project value, and then funds milestones.
  3. Funded money is held by the platform. It belongs to neither party until a milestone is resolved.
  4. The freelancer submits the work for that milestone.
  5. The client approves it, or raises a dispute. On approval the milestone is released: the platform’s fee is deducted and the balance credited to the freelancer’s wallet.
  6. The freelancer withdraws from their wallet. Withdrawals require confirmation by one-time password.

If a client abandons a funded project, the platform may pay the freelancer compensation of up to 20% of the affected amount from the security deposit.

All escrow accounting is in Indian Rupees. Amounts entered in another currency are converted to INR at the platform's posted rate before funding.

06Fees

The platform charges a commission of 5% by default on each milestone release. Charged on each milestone release and deducted from the freelancer's payout. The rate that applies to a project is fixed when the project is created and shown before the client funds it.

The rate can differ by category, by subscription plan and by market. The rate that applies to a project is fixed when the project is created, so a later change does not reprice work already agreed. Full detail is on the Fees and Charges page.

07Disputes between clients and freelancers

Either party may raise a dispute on a funded milestone. Disputes are reviewed by the platform, which may release, refund or split the disputed amount. The decision and the reason are recorded against the project and shown to both parties.

We decide disputes as a neutral administrator of the escrow, on the evidence submitted through the platform. We are not a court and we do not decide the underlying legal rights of either party; either party remains free to pursue those rights elsewhere.

08Prohibited conduct

You must not:

  • Impersonate anyone, or misrepresent your identity, skills, qualifications or work history.
  • Post work that is unlawful, or that requires the freelancer to break the law.
  • Arrange payment outside the platform for work introduced through it.
  • Manipulate reviews, ratings or the referral programme, including through additional accounts.
  • Attempt to access another user’s account or data, probe the platform’s security, or interfere with its operation.
  • Scrape or bulk-collect other users’ personal data.
  • Harass, threaten or discriminate against another user.

09Content and intellectual property

  • You keep ownership of what you post. You grant us a licence to host and display it so the platform can function.
  • Ownership of delivered work passes according to the contract between the client and the freelancer. By default, on full payment for a milestone the client owns the deliverables for that milestone.
  • Do not post material you have no right to post. Infringement claims are handled under our Copyright Policy.
  • The FreelanceKar name, logo and platform remain ours.

10Suspension and termination

We may suspend or close an account, and may freeze a wallet, where we reasonably believe there is fraud, a breach of these Terms, a legal requirement, or a risk to other users or to the platform.

Where a wallet is frozen we will tell you why unless the law prevents us. Money already earned and not in dispute remains yours and will be released once any review concludes. You may close your account at any time; obligations on open projects survive closure.

11Liability

The platform is provided as it is. We do not guarantee that a client will find a suitable freelancer, that a freelancer will find work, or that any party will perform their contract.

To the extent the law allows, our total liability to you for any claim is limited to the fees we charged you on the transaction the claim relates to. We are not liable for loss of profit, loss of opportunity or indirect loss.

Nothing here limits liability that cannot be limited by law, including for fraud, or our obligations in respect of money held in escrow for you.

12Governing law and dispute resolution

These Terms are governed by the laws of India.

If you have a complaint, contact grievance@freelancekar.com first. We aim to resolve complaints within 30 days.

A dispute not resolved that way may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at [CITY], India, in English. Subject to that, the courts at the courts at [CITY], India have jurisdiction.

Nothing in this clause removes any right you have as a consumer to bring a complaint before a consumer forum where you live.

13Changes to these terms

We may change these Terms. Material changes take effect 30 days after we notify you, by email or in the product. Continuing to use the platform after that means you accept the change. The effective date at the top of this page shows which version is current.

TODO(legal): the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 require a named Grievance Officer with contact details published on the platform. Appoint one and complete this section.
